1.0 DEFINITIONS
These Terms of Use (these “Terms”) represent an agreement between you and Legal Trunk Limited (“we,” “us,” “our” or “Legal Trunk”), governing your use of and access to our website at www.legaltrunk.com, affiliated websites, and all related services, products, and applications (collectively, the “Services”). “You” and “your” refer to the person who uses or accesses the Services. “Legal Trunk Account” refers to your account with us for the Services.

2.0 THE AGREEMENT

Your use of the Services is subject to these Terms and our Privacy Policy. By accessing the Services, you acknowledge that you have read and understand these Terms and our Privacy Policy, and agree to be bound by them. If you do not agree with any part, do not use the Services. These Terms and the Privacy Policy also apply if you become a client, with any additional terms which you agree to when you purchase or subscribe to any of our services.

3.0 OBLIGATIONS

To use the Services, you must:
a. accept and agree to these Terms and our Privacy Policy;
b. be at least 18 years of age;
c. register to create a User Account and provide the required information, including your name, email, identification, and other necessary details (“User Information”); and
d. keep your User Information accurate, current, and complete.

You are responsible for safeguarding your User Account and promptly notifying us of any unauthorised use. Providing false information or using the Services unlawfully is grounds for termination.

4.0 LICENSE TO USE SERVICES

We grant you a non-exclusive, limited, and revocable license to use the Services solely for your personal or business use in connection with the Services. This license terminates when you cease using the Services or if this Agreement ends.

5.0 INTELLECTUAL PROPERTY

The Services, including all content and intellectual property (“Company IP”), belong to Legal Trunk. You agree not to reproduce, distribute, infringe upon, or use the Company IP unlawfully. If you submit content (“User Content”), you grant us the right to use, modify, and distribute it in connection with the Services.
You must ensure that User Content is legal and non-infringing. We reserve the right to remove any User Content that violates these Terms. To the extent permitted by law, we may, in our sole discretion and without liability to you, terminate (or suspend access to) your use of the Services, Content, or your Legal Trunk Account for any reason, including, but not limited to, your breach of these Terms.

6.0 ACCEPTABLE USE

You agree not to use the Services for/to:
i. Use the Services for illegal activities
ii. Violate the intellectual property rights of the Company or any third party;
iii. Upload or otherwise disseminate harmful software;
Engage in fraud; or
iv. Publish or distribute any obscene or defamatory material.
Any violation may result in suspension or termination of your access to the Services.

8.0 THIRD-PARTY WEBSITES

The Services may contain links to third-party websites or services. We provide such links and connections for your reference only. We do not control these sites, and your use of and access to them is at your own risk, subject to their terms and conditions and privacy policy.

9.0 PRIVACY INFORMATION

Legal Trunk Limited is committed to upholding the highest standards of data protection and privacy. By using the Services, you consent to the collection, use, storage, and disclosure of your information as outlined in these Terms and our Privacy Policy. Our use of your personal information is governed by our Privacy Policy. You authorise us to verify your identity and collect necessary information for compliance purposes.

10.0 ASSUMPTION OF RISK

Legal Trunk is a legal technology company helping businesses grow, manage and scale globally. The Services provide general legal services but do not create an attorney-client relationship nor constitute legal advice. You should seek professional legal counsel before relying on information obtained through the Services. Your use of the Services is at your own risk.

14.0 ENTIRE AGREEMENT

These Terms, along with the Privacy Policy, constitute the entire understanding between you and Legal Trunk regarding the use of the Services.

15.0 SERVICE INTERRUPTIONS

We may temporarily suspend the Services for maintenance or other reasons on a scheduled or unscheduled basis without liability as a result of such downtime.

16.0 NO WARRANTIES

To the fullest extent permitted by law, you understand and agree that your use of the Services, including all information, products, and content (including third-party content), is entirely at your own risk. The Services are provided “as is” and “as available” without any warranties. We and our third-party providers make no promises about the Services, including but not limited to guarantees of performance, accuracy, quality, or fitness for a particular purpose.
We do not guarantee that: (a) The Services will meet your needs, (b) The Services will be available without interruption or errors, (c) Results obtained from the Services will be accurate or reliable, (d) The quality of any products, services, or information will meet your expectations, or (e) Any errors will be fixed.

17.0 LIMITATION OF LIABILITY

To the fullest extent permitted by law, Legal Trunk, its affiliates, and their representatives will not be liable for any issues related to using or not being able to use the Services. We are not responsible for any indirect, special, or consequential damages, including loss of profits, data, or goodwill, even if such persons have been advised of the possibility of such damages. This limitation also covers events beyond our control.

18.0 GENERAL PROVISIONS:

18.1 Language: All communications made or notices given under this Agreement shall be in the English language.

18.2 Jurisdiction & Choice of Law: These terms shall be governed by the laws of the Federal Republic of Nigeria.
18.3 Arbitration: In case of a dispute between the Parties arising out of these Terms, disputes will be resolved through arbitration.

18.4 Assignment: You may not transfer your rights under these Terms.

18.5 Termination: Legal Trunk reserves the right to terminate this Agreement if you violate its terms, such as violating intellectual property rights, ignoring laws, or sharing illegal content. You can also terminate your account by contacting us at hello@legaltrunk.com. If there are any pending transactions when you request termination, we will close your account after such transactions are completed. Your termination of these Terms will not affect any existing obligations. Some provisions will remain effective even after termination.

18.6 Severability: If any part of this Agreement is held invalid or unenforceable, the remaining parts will remain in effect to the fullest extent possible. The rest of the Agreement shall continue in full force.

18.7 No Waiver: If We fail to enforce any provision of this Agreement, this shall not constitute a waiver of any future enforcement of that provision or any other provision. Waiver of any part or sub-part of this Agreement will not constitute a waiver of any other part or sub-part.

18.8 Headings for Convenience Only: Headings of parts and sub-parts under this Agreement are for convenience and organisation, only. Headings shall not affect the meaning of any provisions of this Agreement.

18.9 No Agency, Partnership, or Joint Venture: No agency, partnership, or joint venture has been created between the Parties as a result of this Agreement. However, you agree that our third-party service providers are third-party beneficiaries of the applicable provisions of these Terms, and have the right to enforce applicable terms as if such service providers were a party to these Terms.

18.10 Force Majeure: Legal Trunk is not liable for any failure to perform due to causes beyond its reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.

18.12 Miscellaneous: These Terms and our Privacy Policy constitute the entire agreement regarding the Services and replace any previous agreements. You acknowledge that you are not an employee, agent, or partner of Legal Trunk and do not have the authority to bind Legal Trunk in any respect whatsoever.
